promotional campaigns

newsletters

social media promotions

audio advertising

digital advertising

All services provided by the above brands are collectively referred to as the “Services.”

3. DESCRIPTION OF SERVICES

Broadway Review Boost provides internet marketing services, promotional media services, reputation management services, and advertising services designed to help businesses increase their visibility and marketing presence.

Services may include:

4. NO GUARANTEE OF RESULTS

You acknowledge and agree that:

Search engine algorithms are controlled by third parties.

Media and advertising results vary.

Audience behavior cannot be predicted.

Therefore:

search rankings

map pack placement

review volume

leads

sales

revenue

traffic

impressions

audience reach

engagement

conversions

All services are provided using commercially reasonable best practices, but results are not guaranteed.

5. CLIENT RESPONSIBILITIES

You agree to:

provide accurate information about your business

maintain ownership of your accounts (Google Business Profile, social platforms, etc.)

comply with all applicable marketing and privacy laws

honor all promotions or offers advertised through our Services

You are solely responsible for:

your business operations

customer service

pricing and promotions

legal compliance

6. SMS, EMAIL & REVIEW AUTOMATION COMPLIANCE

Some services may include automated messaging systems.

By using these features you represent and warrant that:

you have obtained proper customer consent

you comply with TCPA, CAN-SPAM, and applicable privacy laws

all contacts were lawfully obtained

You authorize Broadway Review Boost and its vendors to send messages on your behalf based on campaign settings.

We reserve the right to suspend messaging if we believe your usage creates legal risk or spam complaints.

7. ADVERTISING & SPONSORSHIP SERVICES

For businesses purchasing advertising through:

You acknowledge that:

advertising placements are subject to availability

programming schedules may change

ad placement timing may vary

campaign results cannot be guaranteed

We reserve the right to:

reject advertisements

request modifications

pause or remove ads that violate policies or laws.

8. BUSINESS DIRECTORY LISTINGS

Some Services include directory listings.

Listings may include:

business name

contact information

description

promotional offers

website links

media content

Broadway Review Boost reserves the right to edit, format, or remove listings for quality, compliance, or operational reasons.

9. INTELLECTUAL PROPERTY

All systems, software, content, branding, automation workflows, marketing strategies, and tools are the exclusive property of Broadway Review Boost.

This includes but is not limited to:

dashboards

messaging systems

review automation systems

marketing workflows

advertising frameworks

radio programming

audio production

website content

brand assets

Clients receive a limited license to use the Services during their active subscription.

You may not:

copy our systems

resell our services

white-label our technology

redistribute our content

replicate our workflows

without written permission.

10. BILLING, AUTO-RENEWAL & PAYMENT AUTHORIZATION

By purchasing any paid service you authorize Broadway Review Boost to charge your payment method for:

subscriptions

advertising campaigns

service plans

setup fees

platform access

Subscriptions automatically renew unless canceled according to the plan terms.

Failure to maintain valid billing may result in suspension of services.

11. NO REFUNDS POLICY

To the maximum extent permitted by law:

ALL SALES ARE FINAL

We do not provide refunds for:

subscriptions

advertising placements

sponsorships

marketing services

digital services

setup or onboarding fees

unused time

unused campaigns

Chargebacks may result in:

immediate termination

collections action

recovery of legal costs.

12. SERVICE MODIFICATIONS

Broadway Review Boost may modify services at any time, including:

platforms used

workflows

reporting methods

advertising placements

technology providers

Such modifications do not constitute breach of contract.

13. DISCLAIMERS

All Services are provided “AS IS” and “AS AVAILABLE.”

We disclaim all warranties including:

merchantability

fitness for a particular purpose

uninterrupted availability

specific marketing outcomes

error-free operation.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

lost profits

lost revenue

business interruption

reputation damage

data loss

indirect or consequential damages.

Our total liability for any claim shall not exceed the amount paid by you in the three (3) months prior to the event giving rise to the claim.

15. INDEMNIFICATION

You agree to indemnify and hold harmless Broadway Review Boost and its owners, employees, contractors, affiliates, and vendors from all claims arising from:

your advertising claims

your promotions

your business practices

your customer communications

your legal compliance

your use of our Services.

16. TERMINATION

We may suspend or terminate services if:

payments fail

chargebacks are filed

false information is provided

misuse of systems occurs

legal or reputational risk is created.

Certain provisions survive termination including payment obligations, liability limitations, and indemnification.

17. GOVERNING LAW

These Terms are governed by the laws of the State of Tennessee.

All disputes shall be resolved through binding arbitration in Davidson County, Tennessee under American Arbitration Association rules.

You waive:

jury trials

class actions

collective claims.

Any claim must be filed within one (1) year of the event.

18. FORCE MAJEURE

We are not liable for delays caused by events outside our control including:

internet outages

platform failures

acts of government

natural disasters

power failures

third-party service interruptions.

19. PRIVACY

Use of the Services is also subject to our Privacy Policy, which is incorporated by reference.

20. ENTIRE AGREEMENT

These Terms, along with any checkout terms, order forms, or service agreements, constitute the entire agreement between you and Broadway Review Boost.
